IMPORTANT INFORMATION

Be sure to include the following upon completed application form:

1. Proof of liability insurance – listing Town of Marlborough and Heart of the Hudson Valley Farmers Market as added Insured
2. Copies of applicable licenses/permits - (Food must have an U.C. Health Permit/Wine-Liquor License)

Terms of Agreement

THIS AGREEMENT between Heart of the Hudson Valley Farmer’s Market (herein referred to as “EVENT MANAGEMENT”) and the above-mentioned applicant (herein referred to as “VENDOR”) for space at the Heart of the Hudson Valley Farmer’s Market for the 2018 Market Season.

I have read the accompanying Rules and Regulations, attest that I am at least 18 yrs of age and agree to abide by them.

I further understand that the vendor fee is non-refundable. Vendor payment will be accepted on-site only by Event Management.

I understand that I will not be allowed to participate in the 2018 Heart of the Hudson Valley Farmer’s Market until all necessary payment, information/paperwork is received and accepted by Event Management.

Hold Harmless Agreement

This AGREEMENT, made effective this June 26 through October 6, 2018 by and between “Heart of the Hudson Valley Farmer’s Market”(hereinafter Event Management), with the Town of Marlborough billing address at Marlborough Town Hall, 21 Milton Turnpike, Suite 200, Milton, NY 12457 , and the above-mentioned applicant (hereinafter Vendor), whose principle office or home is located as stated in this application.

It is mutually agreed between the parties as follows:

The Vendor hereby agrees by accepting this Agreement that with respect to third parties, that Vendor shall defend with competent counsel, indemnify and hold the Town of Marlborough and Event Management and any of its board members, management, coordinators, agents, employees, and volunteers, harmless from and against any and all liabilities, claims, suits, damages, losses, judgments, penalties, premiums, contributions, fines and increased costs and expenses (including reasonable attorneys’ fees and other expenses) arising out of damages caused by either the willful conduct, error, omission or negligent act of the Vendor or its agents, employees or volunteers. This obligation shall survive the termination of this Agreement.

The Vendor hereby also agrees to have authorization on behalf of the Vendor to execute this agreement on behalf of themselves or the company or organization they represent. If this Hold Harmless Agreement is executed by a corporation or LLC. then the principle also makes a Personal Guaranty whereby guarantying payment to at Marlborough Agricultural Alliance of all liability assumed by the Vendor herein under the forgoing Hold Harmless Agreement
